Terms of Service

These Terms of Service ("Terms") govern your access to and use of Replenish (the "Service"), an inventory forecasting and reorder recommendation application operated by CodeQual ("we", "us", "our"). By installing or using Replenish, you ("you", "the merchant") agree to these Terms. If you do not agree, do not install or use the Service.

1. The Service

Replenish connects to your e-commerce store (such as Shopify or BigCommerce), analyzes your products, inventory levels, and order history, and provides inventory forecasts, reorder recommendations, stockout and dead-stock alerts, supplier and purchase-order tools, and related features. The specific features available to you depend on your plan.

2. Eligibility and accounts

You may use Replenish only on a store you own or are authorized to manage, and only in compliance with the terms of the underlying commerce platform (e.g., Shopify or BigCommerce). You are responsible for maintaining the security of your store and for all activity that occurs under your account.

3. Plans, billing, and fees

Replenish may be offered on free and paid plans. Where a plan is provided free of charge (including during a beta period), it is genuinely free for that period. We may introduce, change, or discontinue plans and fees, including converting a currently-free plan to a paid plan, with reasonable advance notice. We will never begin charging you without your consent: any charges are processed through your commerce platform's official billing system, and you may choose a paid plan, decline, or cancel at any time through that platform. If you do not accept a new charge, you may continue on an available free plan (if offered) or stop using the Service.

4. Acceptable use

You agree not to: (a) use the Service in violation of any law or third-party right; (b) attempt to gain unauthorized access to the Service, other merchants' data, or our systems; (c) interfere with or disrupt the Service; or (d) resell or redistribute the Service without our written permission.

5. Your data and privacy

Our handling of the data we access from your store is described in our Privacy Policy, which is incorporated into these Terms. You retain ownership of your store data. You grant us the limited right to process that data solely to provide and improve the Service. When you uninstall Replenish, your shop data is deleted in accordance with the Privacy Policy.

6. Forecasts and recommendations are estimates

Replenish's forecasts, reorder points, stockout dates, and recommendations are informational estimates generated from your historical data using deterministic calculations. They are provided to assist your decision-making and are not guarantees of future demand, availability, or business outcomes. You are solely responsible for your purchasing, inventory, and business decisions. We are not liable for lost sales, overstock, stockouts, or other losses resulting from reliance on the Service's outputs.

7. Intellectual property

The Service, including its software, design, and content (excluding your store data), is owned by CodeQual and protected by intellectual-property laws. These Terms do not grant you any right to our trademarks, logos, or source code except the limited right to use the Service as intended.

8. Third-party platforms and services

Replenish operates on top of third-party commerce platforms and uses third-party infrastructure providers. Your use of those platforms is governed by their own terms. We are not responsible for the availability, accuracy, or actions of third-party platforms or services, including changes they make to their APIs.

9. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that forecasts will be accurate.

10. Limitation of liability

To the maximum extent permitted by law, CodeQual will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the three months preceding the claim, or (b) USD $50.

11. Termination

You may stop using the Service at any time by uninstalling it from your store. We may suspend or terminate your access if you violate these Terms or if required to protect the Service or other merchants. Sections that by their nature should survive termination (including data, intellectual property, disclaimers, and limitation of liability) will survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which CodeQual is established, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of that jurisdiction, unless applicable law requires otherwise.
